By accessing or using AdminZero ("the Service") provided by AdminZero Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We may modify these Terms at any time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

AdminZero is a business management platform that provides tools for website building, customer relationship management (CRM), email and SMS marketing, online booking, invoicing, payment processing, accounting, social media management, and analytics. The specific features available to you depend on your subscription plan.

3. Account Registration

To use the Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account

We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion.

4. Subscription Plans and Billing

4.2 Billing

6. Email and SMS Marketing Compliance

If you use our email or SMS marketing features, you are solely responsible for compliance with all applicable laws, including:

• TCPA: For SMS marketing in the United States
• GDPR: For marketing to individuals in the European Union
• CASL: For marketing to individuals in Canada

You must:

You may export Your Content at any time using the export features in the Service. Upon account termination, you will have 30 days to export Your Content before it is deleted.

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of AdminZero Inc. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

9. Third-Party Services

The Service may integrate with third-party services (payment processors, email providers, social media platforms, etc.). Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users, us, or third parties
• Constitutes fraud or illegal activity

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, your right to use the Service will immediately cease.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ADMINZERO INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless AdminZero Inc. and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your Content
• Your marketing activities using the Service

14. Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Utah, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any disputes will be resolved on an individual basis, and you waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AdminZero Inc. regarding the Service and supersede any prior agreements.
